Robert C. Pearman brings decades of experience advising financial institutions on a broad range of transactions, compliance, and regulatory matters. His practice includes structuring and documenting commercial loans, real estate finance, asset sales, receiverships, and affordable housing construction loans across California.

Mr. Pearman has acted as outside counsel for leading banks such as Bank of America, Cathay Bank, and Broadway Federal Bank, assisting in loan documentation, asset sales, and lease negotiations. His experience includes representing lenders in transactions involving mixed-use developments, subdivisions, mobile home parks, and public-private housing projects.

He has documented complex loan instruments including revolving credit lines, construction loans, refinancing packages, and multi-bank participation agreements. He is well-versed in variable interest structures including WSJ Prime Rate, LIBOR, Floating Rate Notes, and prepayment arrangements with penalty provisions.

For Cathay Bank, Mr. Pearman reviewed and revised ground lease terms to ensure financeability for a $12 million construction loan to a commercial developer. He has also drafted and negotiated office and branch leases for financial institutions with lease values reaching over $2 million.

Case Study: Bank of America Housing Loans

As outside counsel to Bank of America and the City of Los Angeles, Mr. Pearman prepared construction loan agreements, disbursement schedules, promissory notes, multi-lender construction agreements, deeds of trust (including leasehold interests), tax credit assignments, and subordination and indemnity documents. His work enabled large-scale housing development projects across Los Angeles to be financed, built, and completed on schedule.
